By accessing or using our website, requesting a consultation, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. If you do not have such authority, or do not agree to these terms, you must not use our website or services.

These terms apply to all engagements.

Unless otherwise agreed in writing, these Terms & Conditions apply to all services provided by LemonPixel Digital, whether on a project, retainer, or consultancy basis.

/// 03 Our services

LemonPixel Digital provides the following services to business clients:

  • Search Engine Optimisation (SEO) — technical SEO, on-page optimisation, local SEO, and long-term organic search strategy.
  • AI Search Optimisation (AEO & GEO) — Answer Engine Optimisation and Generative Engine Optimisation to improve visibility across AI-powered search platforms including ChatGPT, Gemini, Perplexity, and Grok.
  • Website Design & Build — design, development, and delivery of high-performance websites optimised for search engines, AI platforms, and user experience.
  • Content Marketing — content strategy, creation, and distribution designed to build authority and improve search and AI visibility.
  • Digital PR & Link Building — earned media, outreach, and link acquisition strategies to build domain authority and brand credibility.

The specific scope of services for each client engagement will be set out in a separate Proposal or Statement of Work (SOW), which forms part of the agreement between LemonPixel Digital and the client.

/// 04 Client engagement

A client engagement begins when both parties have agreed in writing to a Proposal or Statement of Work, and the client has paid any required deposit or first invoice.

Proposals

All proposals are valid for 30 days from the date of issue unless otherwise stated. Proposals are not binding until accepted in writing by the client and confirmed by LemonPixel Digital.

Statements of Work (SOW)

For ongoing retainer or project engagements, a Statement of Work will outline the scope, deliverables, timelines, fees, and any specific terms applicable to that engagement. In the event of any conflict between a SOW and these Terms & Conditions, the SOW shall take precedence.

Changes to scope

Any changes to the agreed scope of work must be requested in writing and agreed upon by both parties before additional work commences. Out-of-scope work will be quoted separately and may affect timelines and fees.

/// 05 Fees & payment

Fees

All fees are set out in the relevant Proposal or SOW. Fees are quoted in Euros (EUR) unless otherwise agreed. All prices are exclusive of VAT or applicable taxes, which will be added where required by law.

Payment terms

Invoices are due within 14 days of the invoice date unless otherwise agreed in writing. For project work, we typically require a deposit of 50% before work commences, with the balance due upon completion or at agreed project milestones.

Retainer payments

Monthly retainer fees are invoiced in advance at the start of each month. Retainer services will not commence or continue until payment has been received.

Late payment

In the event of late payment, we reserve the right to suspend services until the outstanding balance is settled. We also reserve the right to charge interest on overdue amounts at the statutory rate under Portuguese law, plus any reasonable debt recovery costs.

Refunds

Deposits and retainer fees paid in advance are non-refundable once work has commenced. If we are unable to deliver the agreed services due to circumstances within our control, we will offer a fair and proportionate refund or credit.

/// 06 Deliverables & timelines

We will use reasonable endeavours to meet agreed timelines and deliver work to the standard set out in the Proposal or SOW. However, timelines are estimates and may be affected by:

  • Delays in receiving required materials, approvals, or feedback from the client
  • Third-party dependencies outside our control (e.g. domain registrars, hosting providers, third-party platforms)
  • Scope changes requested by the client
  • Circumstances beyond our reasonable control (see section 10)

We will notify you promptly of any anticipated delays and work with you to agree revised timelines where necessary.

SEO & AI search results are not guaranteed.

Search engine and AI platform algorithms are outside our control and change frequently. While we apply best-practice strategies and will work diligently toward your goals, we cannot guarantee specific rankings, traffic levels, or visibility outcomes. Any projections we provide are estimates based on available data and professional judgement, not binding commitments.

/// 07 Intellectual property

Our intellectual property

All methodologies, frameworks, tools, templates, processes, and pre-existing materials developed by LemonPixel Digital remain our intellectual property. These are licensed to clients for use within the scope of the engagement only and may not be reproduced, shared, or resold without our written consent.

Client intellectual property

All materials, content, branding, data, and assets provided to us by the client remain the intellectual property of the client. By providing these materials, you grant LemonPixel Digital a licence to use them solely for the purposes of delivering the agreed services.

Deliverables ownership

Upon receipt of full payment, ownership of bespoke deliverables created for the client (such as website designs, written content, and reports) transfers to the client. LemonPixel Digital retains the right to reference the work in our portfolio and marketing materials unless the client requests otherwise in writing.

Website content

All content on our website, including text, graphics, logos, and code, is the property of Velvetnode LDA and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or use our website content without prior written permission.

/// 08 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement, including but not limited to business strategies, financial data, client lists, and technical processes.

  • Confidential information may only be used for the purposes of delivering or receiving the agreed services.
  • Neither party will disclose confidential information to third parties without prior written consent, except where required by law.
  • These confidentiality obligations survive the termination of the engagement for a period of 3 years.

This clause does not apply to information that is or becomes publicly available through no fault of either party, or that was already known to the receiving party prior to disclosure.

/// 09 Client obligations

To enable us to deliver the agreed services effectively, the client agrees to:

  • Provide accurate, complete, and up-to-date information and materials when requested, within agreed timeframes.
  • Provide necessary access to platforms, accounts, and systems required to deliver the services (e.g. website CMS, Google Search Console, Google Analytics).
  • Designate a primary point of contact who has the authority to provide approvals and make decisions on behalf of the client.
  • Review and provide feedback on deliverables within the timeframes agreed in the SOW. Delays in feedback may affect timelines and are not the responsibility of LemonPixel Digital.
  • Ensure that any materials provided to LemonPixel Digital do not infringe the intellectual property rights or other rights of any third party.
  • Comply with all applicable laws in connection with the services, including data protection laws.
/// 10 Warranties & disclaimers

LemonPixel Digital warrants that:

  • We have the right to enter into agreements to provide the services described.
  • Services will be performed with reasonable skill and care, in a professional manner consistent with industry standards.
  • We will comply with all applicable laws in the provision of our services.

No guarantee of results

Search engine rankings, AI platform visibility, website traffic, and conversion rates are influenced by many factors outside our control, including algorithm changes by Google, Bing, OpenAI, Google DeepMind, and other platforms. We do not warrant or guarantee any specific outcomes, rankings, or business results from our services.

Website disclaimer

Our website is provided on an "as is" basis. While we take care to ensure the accuracy of information on our website, we make no warranties as to its completeness, accuracy, or fitness for a particular purpose. We reserve the right to update or remove website content at any time without notice.

Force majeure

Neither party shall be liable for any delay or failure to perform obligations under these terms where such delay or failure results from circumstances beyond reasonable control, including but not limited to acts of God, government restrictions, internet outages, cyberattacks, or other events outside the affected party's reasonable control.

/// 11 Limitation of liability

To the fullest extent permitted by applicable law:

  • LemonPixel Digital's total aggregate liability to any client in connection with any engagement shall not exceed the total fees paid by that client in the 3 months preceding the claim.
  • We shall not be liable for any indirect, consequential, special, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.
  • We shall not be liable for any loss or damage arising from your failure to keep login credentials and account access secure.
  • We shall not be liable for any loss caused by third-party platforms, tools, or services outside our control (including search engine algorithm changes).

Nothing in these terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.

/// 12 Termination

Termination by the client

Clients on a monthly retainer may terminate the agreement by providing 30 days' written notice. Project engagements may be terminated by the client with written notice, subject to payment of all fees for work completed to the date of termination plus any non-recoverable costs already incurred.

Termination by LemonPixel Digital

We reserve the right to terminate or suspend services immediately and without notice if the client: fails to make payment by the due date; breaches any material term of these conditions; or acts in a manner that we reasonably consider harmful, unethical, or damaging to our business or reputation.

Effect of termination

Upon termination, all outstanding fees become immediately due and payable. Each party shall return or destroy the other's confidential information. Clauses relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.

/// 13 Data & privacy

The collection, use, and protection of personal data in connection with our website and services is governed by our Privacy Policy, which forms part of these Terms & Conditions and is incorporated by reference.

Where LemonPixel Digital processes personal data on behalf of a client in the course of delivering services (for example, accessing client analytics or CRM data), we act as a data processor. In such cases, a Data Processing Agreement (DPA) may be required under GDPR Article 28. Please contact us at privacy@lemonpixeldigital.com if you require a DPA.

By using our website you agree to the following:

  • You will not use our website for any unlawful purpose or in any way that could harm, disable, or impair the website or interfere with any other party's use of it.
  • You will not attempt to gain unauthorised access to any part of our website, its servers, or any systems connected to it.
  • You will not use automated tools, scrapers, or bots to extract content from our website without our prior written permission.
  • You will not transmit any unsolicited or unauthorised advertising or promotional material through our website.

We reserve the right to restrict or terminate access to our website for any user who we believe is in breach of these terms.

We may update these Terms & Conditions at any time. When we make material changes, we will update the "last updated" date at the top of this page. We encourage you to review these terms periodically.

For existing clients, any changes to terms that affect your engagement will be communicated directly and will not take effect until the start of your next contract period or upon renewal, unless required by law.

Your continued use of our website or services after any changes constitutes your acceptance of the updated terms.

These Terms & Conditions are governed by and construed in accordance with the laws of Portugal and the applicable regulations of the European Union.

Any disputes arising out of or in connection with these terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Lisbon, Portugal.
